8. Service Engagement and Fees
8.1 How Services Are Engaged
• Services require a signed Service Agreement or written acceptance
• No obligation exists until both parties agree in writing

8.2 Fees and Pricing
Fees will be defined in the Service Agreement and may be fixed, hourly, daily, retainer-based, or success-fee based.
All fees exclude VAT unless stated. VAT will be added where applicable.
8.3 Expenses

9. Cancellation, Termination, and Refunds

• Work completed will be invoiced
• Deposits may be non-refundable
9.2 Termination by FCM Consultancy
We may terminate immediately if:
• Payments are overdue by more than 30 days
• You breach these Terms or the Service Agreement
• The working relationship becomes untenable
• Continuing would violate legal or ethical duties
9.3 Effect of Termination
• All outstanding fees become due
• Completed work will be provided
• Confidentiality continues
• You must return materials provided
9.4 Refunds
Refunds are not provided for completed work. Deposits are non-refundable after work commences.
10. Confidentiality
10.1 Our Commitment
We keep your information confidential, do not share it without consent, and use it only for service delivery.
10.2 Exceptions
We may disclose information if required by law, necessary to enforce our rights, already public, or with your consent.
10.3 Your Obligations
You must keep our methodologies, pricing, and proprietary information confidential.
11. Limitation of Liability
11.1 We do not exclude liability for:

• Fraud or fraudulent misrepresentation

14. Complaints and Dispute Resolution
14.1 Complaints
Contact us via email or phone.
We will acknowledge within 3 working days and respond within 10 working days.
14.2 Escalation
If unresolved, we will provide our final position. You may contact relevant professional bodies or seek mediation.
14.3 Alternative Dispute Resolution
Both parties agree to attempt negotiation or mediation before legal action.
15. General Provisions
15.1 Entire Agreement
These Terms, the Service Agreement, and the Privacy Policy make up the entire agreement.
15.2 Variations
We may update these Terms at any time. Continued use indicates acceptance.
15.3 Severability
Invalid provisions do not affect the rest.
15.4 Waiver
Not enforcing a provision does not waive the right to enforce it later.
15.5 Assignment
We may assign obligations with your consent. You may not assign without our written approval.
15.6 Third Parties
No third party has rights under these Terms.
